Welcome to Adera Express

We are Adera Express, LLC. ("Adera," "AderaEx," "Us," "We," or "Our"), and we are a platform that helps define, create, and connect a global community of friends and colleagues. Our goal is to celebrate shared interests and minimize cultural, geographic, and social divisions through online and offline communications and interactions. Our community shares items, goods, products, or services between those who seek to obtain or send them globally ("Shippers") and those willing to help bring them ("Travelers"). We do this through our website at https://www.aderaex.com, our applications, and other services collectively referred to as the "Adera Express Platform."

Important Notice

PLEASE READ THESE TERMS CAREFULLY. THEY CONSTITUTE A CONTRACT AND CONTAIN A BINDING ARBITRATION PROVISION AND A CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS AND REMEDIES AS DETAILED IN THE SECTION TITLED ARBITRATION AND CLASS ACTION WAIVER BELOW.

These Terms of Use are a contract and contain important information about your legal rights, remedies, and obligations. They incorporate and include the Adera Privacy Policy, which you should read carefully. Together, we collectively refer to these as the "Terms." Your agreement with us depends on how you use our Platform, either as a Shipper or as a Traveler, or both. References to "You" or "Your" mean the person(s) who accesses, uses, and/or participates in the Adera Platform in any way, including their heirs, successors, and assigns. By accessing or using any part of our Platform, which includes without limitation Shippers, Travelers, or individuals browsing the Adera Platform, you are agreeing to these Terms and any incorporated documents.

Modification or Changes to the Adera Express Platform

AderaEx reserves the right to modify, add, or remove features of the Platform, as well as amend these Terms. Changes will be effective no sooner than thirty (30) days after posting for existing users and immediately for new users unless stated otherwise. If You disagree with the changes, Your only recourse is to stop using the Platform.

Eligibility and Use of the Platform

Access to and use of the Adera Express Platform is restricted to individuals who are at least 18 years old, capable of forming legally binding contracts under applicable law, and who create a valid account as outlined below (valid account holders, whether Shippers, Travelers, or both, are collectively referred to in these Terms as "Members"). By accessing or using the Adera Express Platform, you represent and warrant that you meet these eligibility requirements.

YOU FURTHER ACKNOWLEDGE AND AGREE THAT, UNLESS OTHERWISE SPECIFICALLY AGREED IN WRITING, ADERA DOES NOT ENGAGE IN THE BUSINESS OF OFFERING, SELLING, PURCHASING, OR DELIVERING ITEMS. YOU UNDERSTAND THAT BY ACCESSING OUR PLATFORM AND BECOMING A MEMBER, YOU GAIN THE ABILITY TO USE THE ADERA EXPRESS PLATFORM TO CONNECT WITH OTHER MEMBERS WHO MAY BE INTERESTED IN ACTING AS SHIPPERS AND/OR TRAVELERS, INCLUDING THE ABILITY TO MESSAGE OTHER MEMBERS ABOUT YOUR ITEMS. YOU ACKNOWLEDGE AND AGREE THAT ADERA IS NOT A PARTY TO ANY RELATIONSHIP OR AGREEMENT BETWEEN YOU AND OTHER MEMBERS, AND THAT SUCH RELATIONSHIPS EXIST SOLELY BETWEEN MEMBERS. YOU ALSO ACKNOWLEDGE AND AGREE THAT IT IS YOUR RESPONSIBILITY, NOT ADERA'S, TO BE FAMILIAR WITH, ABIDE BY, AND COMPLY WITH ALL APPLICABLE FEDERAL, STATE, LOCAL, AND INTERNATIONAL LAWS, RULES, AND REGULATIONS THAT MAY APPLY TO YOUR ITEMS OR TO ANY RELATIONSHIP BETWEEN MEMBERS.

Members further acknowledge and agree that they are solely users of the Adera Express Platform and are not employees, joint venturers, partners, or agents of Adera Express LLC in any capacity. Adera does not control Members, their relationships, or the subject matter of such relationships. You acknowledge and agree that, unless explicitly stated otherwise in these Terms, Members themselves determine any applicable Traveler Fees. Although Adera may assist in facilitating disputes, we have no control over and do not guarantee (i) the existence, quality, safety, suitability, or legality of any items (packages) arranged between Members, (ii) the accuracy or completeness of any description or other information provided by Members on the platform, (iii) the performance or conduct of any Member or third party, or (iv) compliance with laws, rules, regulations, orders, or decisions related to any Member relationship or its subject matter. While Adera may provide information to assist in evaluating other Members or their status within the Adera community, Adera does not endorse any Member or item (package). Any reference to a Member being "Verified" (or similar language) solely indicates completion of a verification or identification process and nothing more.

To promote the Adera Express Platform and expand visibility for Members and their items, content from the Adera Platform may be featured on external websites, applications, other communications (including email or SMS text services), and in online and offline advertisements. To assist Members who speak other languages, content from the Adera Express Platform may be translated, in whole or in part, into other languages. However, Adera does not guarantee the accuracy or quality of such translations, and Members are responsible for reviewing and confirming the accuracy of translated content.

Account Registration, Member Verification, and Other Member Representations and Warranties

To access some of our features and services, you will need to validly register for an account and become a Member. You are only eligible to have one (1) account at a time and are not allowed to transfer your account to another person or entity. By registering for an account, you represent and warrant that you are over the age of eighteen (18) and are capable of entering into legally binding agreements in the relevant jurisdiction(s).

You also represent and warrant that you will comply with all applicable import and export control laws or customs laws in your local jurisdiction. Furthermore, you represent and warrant that (i) neither you nor the subject of your transaction (i.e., items/packages) is subject to a United States or other country’s embargo or has been designated by the United States Government as a "terrorist-supporting" country, and (ii) you are not listed on any United States Government or any other country's list of prohibited or restricted parties.

To create a Member account, you must use Google Login. At this time, we only support Google Login for account registration. However, if we enable additional third-party login options in the future, such accounts will also be governed by these Terms. You agree to provide accurate, current, and complete information during the registration process and at all other times when you use the Adera Express Platform. You further agree to continually update your information to keep it accurate, current, and complete.

You alone are responsible for safeguarding your account credentials and are solely responsible for all activity that occurs through your account. If you suspect any unauthorized use of your account, you must immediately inform us. Adera is not liable or responsible for any loss or damage resulting from unauthorized use of your account. However, you may still be held liable to Adera or third parties for damages resulting from such unauthorized use.

Fully Fledged Identity Verification

We offer optional identity verification through Stripe Identity Verification for Members who choose to complete it. Members who successfully complete this process will receive a "Verified" badge on their profile within the system. Members who opt not to complete the verification process will not have the badge but will still have access to the platform's features. By choosing to complete the verification process, you consent to Stripe’s identity verification procedure, including its collection and use of your personal data. This process is governed by Stripe’s Terms of Service and Privacy Policy. You are responsible for ensuring the information you provide for verification is accurate and complete. Verification through Stripe may require you to submit personal information such as your name, address, date of birth, government-issued identification, and a selfie for verification purposes. If you fail or refuse to complete the process, you will not receive the "Verified" badge, but this will not affect your ability to use the platform.

Reports and Member Evaluation

You acknowledge and agree that, as permitted by applicable laws, Adera may, in its sole discretion, but is not obligated to, obtain reports from consumer reporting agencies or review publicly available information about Members. This may include reviewing sexual offender registration lists or databases compiling information about criminal convictions relating to, but not limited to, crimes of violence, theft, fraud, identity theft, or other offenses that could impact the safety and integrity of the platform.

By accessing or using the Adera Express Platform, you authorize us to use your personal information (including name, address, date of birth, or other identifying information) to obtain these reports. Based on our evaluation, we reserve the right to suspend, cancel, block, restrict, or terminate your access to the platform at our sole discretion. If we undertake identity verification or background evaluation efforts and identify you as "Verified," such a designation solely indicates that you have completed the verification process and does not constitute an endorsement of you or any other Member by Adera.

Prohibited Conduct

Regardless of whether you access or use the Adera Express Platform with or without an account, by accessing, searching on, or using the Adera Express Platform in any way, you agree that you will not:

  • Use another person's account, misrepresent yourself, your identity, qualifications, or transactions.
  • Violate any federal, state, local, national, or international law, or any rule, regulation, tariff, or duty, including customs laws or regulations that may apply to you, your transactions, or your relationships with other Members.
  • Use any automated system, including but not limited to robots, spiders, offline readers, crawlers, or scrapers, to access, copy, maintain, or compile the Adera Express Platform or its content for any purpose without Adera's prior written approval.
  • Manually or automatically copy, appropriate, use, or disclose any copyrighted text, intellectual property, rights of publicity, privacy, or contractual rights, or otherwise misuse or misappropriate information or content from the Adera Express Platform, including but not limited to use on mirrored, competitive, or third-party sites.
  • Transmit more requests through the Adera Express Platform in a given period of time than a human can reasonably produce in the same period using a conventional online web browser.
  • Take any action that:
    • Unreasonably encumbers the Adera Express Platform's infrastructure;
    • Interferes or attempts to interfere with the proper functioning of the Platform or any third-party participation;
    • Bypasses measures designed to prevent or restrict access to the Platform;
    • Circumvents, disables, or interferes with the Platform's security features;
    • Distributes viruses or other harmful technologies that may harm Adera or its users;
    • Violates any copyrights, trade secrets, or other third-party rights, including privacy or publicity rights;
    • Circumvents or manipulates fees, fee structures, or billing obligations owed as a result of interactions or transactions on the Platform.
  • Use the Adera Express Platform in any manner that circumvents your obligation to pay Adera or another Member for services rendered or items agreed upon.
  • Stalk, harass, or intimidate other Members or users of the Platform; or collect, harvest, or publish any personally identifiable data (e.g., names or account information) from the Platform, except as explicitly authorized.
  • Use the communication systems provided by the Platform for any unauthorized purposes, including but not limited to commercial solicitation.
  • Recruit, solicit, or contact Members for employment or any other purpose not explicitly permitted by the Adera Express Platform.
  • Submit or transmit inappropriate or unlawful content through the Platform, including but not limited to content that is hateful, illegal, profane, obscene, defamatory, threatening, discriminatory, or that promotes criminal or unlawful activities.
  • Violate any Adera policies governing your use of the Platform or interactions with third parties.
  • Undermine the efficacy or accuracy of reviews or ratings systems maintained by Adera relating to Members.
  • Fail to perform obligations as agreed upon with other Members.
  • Engage in fraudulent conduct, including but not limited to:
    • Entering into a relationship with another Member without the intent to follow through.
    • Arranging to transport or deliver prohibited items.
    • Circumventing or evading the Adera Express Platform or its terms for fraudulent purposes.
  • Register for more than one (1) Adera account, create an account on behalf of another individual, or transfer your account to another person or entity.
  • Undertake or engage in activities inconsistent with the business or purpose of the Adera Express Platform.
  • Attempt to indirectly undertake or achieve any of the prohibited actions described above.

User or Third-Party Generated Content

We may allow you to post, upload, publish, or share content created by you or third parties ("User Content") on the Adera Express Platform. By providing User Content, you grant Adera a worldwide, non-exclusive, transferable, royalty-free, and perpetual license to use, modify, display, distribute, and otherwise exploit the content for purposes related to the platform's operation and promotion. This license survives even if you terminate your account or stop using the platform. Adera does not claim ownership of your User Content.

You are solely responsible for all User Content you make available on the platform, including ensuring it does not infringe on third-party rights or violate any laws. You represent and warrant that you have all necessary rights and permissions to provide the content to Adera and grant the aforementioned license.

Adera reserves the right to review, edit, or remove User Content at its discretion if it violates these Terms, applicable policies, or is deemed harmful or inappropriate. However, you remain responsible for monitoring and ensuring the accuracy of your content at all times.

Payment Terms and Subscription Service Fees

Payments-Related Representations and Warranties

As outlined in these Terms, Adera does not own, create, sell, offer, resell, provide, control, manage, buy, or facilitate the purchase or delivery of any items (packages) discussed between Members. Any transactions, arrangements, or agreements entered into by Members are solely between those Members, and Adera is not a party to such agreements.Members using the Adera Platform are required to pay only the Adera Subscription Fee, which is determined by the subscription plan selected at registration. This Service Charge covers access to the Adera Platform and its features. Any financial arrangements or payments between Members are conducted independently of Adera. Adera may, at its sole discretion, restrict the availability of certain features, adjust Service Charges, or introduce new features or pricing plans. Notice of such changes will be provided in accordance with these Terms.

Payment Processing Services

Payment processing for Adera's Service Charges is facilitated through third-party providers such as Stripe. By using the Adera Platform, you agree to Stripe’s Connected Account Agreement and Services Agreement, as well as any amendments to those terms. Adera’s ability to provide payment processing services depends on your agreement to provide accurate and up-to-date payment information and authorizing Adera to share your transaction-related data with Stripe. Adera reserves the right to use additional third-party payment processors in the future. Notice of such changes will be communicated via the Adera Platform or other appropriate methods.

Transactions Between Members

Adera does not act as a payment collection agent for Members. All financial arrangements, obligations, and transactions between Members, including compensation or reimbursements, are conducted directly between the parties involved. Adera plays no role in facilitating or enforcing these agreements.

Limited Role of Adera

Adera strives to provide a platform that connects Members globally, enabling them to establish and manage their own relationships. Adera does not:

  • Act as a payment intermediary or agent between Members.
  • Guarantee the quality, safety, or suitability of any items (packages) discussed or exchanged between Members.
  • Mediate financial disputes between Members.

Prohibited Items

Adera Members expressly agree not to use the Adera Express Platform to request, transport, or facilitate the delivery of any item that is prohibited under the laws of the United States, its subdivisions, or any international, local, or jurisdictional laws applicable to Members, goods, transit, or destinations. It is the sole responsibility of the requesting and delivering parties (and not Adera) to ensure that no prohibited items are requested, transported, or delivered through the platform. Prohibited items include, but are not limited to:

  • Hazardous Materials: As defined by the United States Environmental Protection Agency (EPA), the United States Occupational Safety and Health Administration (OSHA), the United States Department of Transportation (USDOT), the United States Nuclear Regulatory Commission (NRC), or similar agencies at the national, state, and local levels.
  • Counterfeit Goods
  • Currency
  • Stolen Property
  • Alcohol
  • Live Animals
  • Firearms, Ammunition, Explosives, or Chemicals
  • Human Remains
  • Pornography or Obscene Materials
  • Illegal Drugs or Prescription Drugs in Violation of Law
  • Items Related to Illegal Activities: Including materials used for the production of illegal drugs.
  • Items Prohibited by Law in the Place of Origin, Destination, or Jurisdiction of Transit
  • Batteries
  • Aerosols or Flammable Materials
  • Knives, Batons, or Other Weapons
  • Certain Agricultural Products
  • Items Imported into the United States Without Proper Customs Declarations

Adera strongly encourages Members to consult the relevant government agencies to ensure compliance with laws governing items that may or may not be transported or delivered. For example, Members should refer to regulations and guidance provided by the United States Transportation Security Administration (TSA) and other applicable authorities.

All Members are responsible for ensuring compliance with applicable TSA and other regulatory rules when traveling or facilitating deliveries involving the United States or other jurisdictions.

Transactions Between Shippers and Travelers

  • Shipper Order: Shippers specify items, weight, images, description and conditions.
  • Shipper Offer: Shippers offer to pay travelers to take their items.
  • Traveler Trip: Travelers add their trip information with the open space they have.
  • Traveler Offer: Travelers propose the price and terms to take Shipper orders
  • Traveler Offer: Whoever recieves the offers accepts or rejects the offers.

Import Restrictions and Charges

It is the sole responsibility of Shippers and Travelers to understand and comply with all applicable customs duties, tariffs, taxes, and import/export regulations related to the items being transported or delivered. Shippers are responsible for ensuring that all necessary declarations and documentation are provided, while Travelers must account for any applicable charges when agreeing to transport items.

Adera encourages Members to familiarize themselves with the relevant laws and regulations of the origin, transit, and destination countries. Below are helpful resources for guidance:

Shippers and Travelers are encouraged to review these resources or consult with appropriate authorities to ensure compliance with all applicable laws. Adera does not assume responsibility for any customs-related issues or fees arising from non-compliance.

Risk of Loss, and Insurance

Members acknowledge and agree that the ownership and risk of loss for packages transported through the Adera Express Platform are governed by the terms mutually agreed upon between the Shipper and the Traveler. Both Shippers and Travelers must clearly establish and document the conditions under which responsibility for a package applies, including how to address instances of loss, damage, or non-delivery. Adera strongly encourages both Shippers and Travelers to define these terms in writing and to procure insurance to cover the cost and expenses related to the transportation of the package. While Adera may provide general guidance or links to third-party insurance providers, Adera is not responsible for arranging or ensuring the validity of any insurance policies.

By using the Adera Express Platform, Members agree that:

  • They will clearly communicate and agree on the conditions for risk of loss, including compensation in cases of lost or damaged packages.
  • Adera is not liable for loss, damage, or disputes arising from the failure of Shippers or Travelers to fulfill their agreed-upon responsibilities.

It is the sole responsibility of Shippers and Travelers to ensure compliance with applicable laws and to handle insurance coverage and claims independently.

Disputes, Rejection, and Refunds

The Adera Express Platform facilitates connections between Shippers and Travelers but does not mediate disputes regarding package rejection or refunds. Resolving issues related to rejections and refunds is the sole responsibility of the Shipper and Traveler, based on their mutually agreed-upon terms. Shippers and Travelers must agree on a reasonable inspection period during which the Shipper can review the delivered package and notify the Traveler of any issues. If the package is rejected due to valid reasons, such as failure to meet agreed-upon conditions, both parties must work together to determine an appropriate resolution. This resolution may include a refund, replacement, or any other arrangement mutually acceptable to both the Shipper and the Traveler. In the event of a dispute, Adera encourages Shippers and Travelers to communicate directly and resolve the matter amicably. Adera does not take responsibility for mediating disputes, issuing refunds, or enforcing agreements between Members. Members are strongly advised to document all agreements and communications within the Adera Express Platform to provide clarity and evidence in case of disagreements.

Intellectual Property

All information and material on the Adera Express Platform, excluding User Content, is either owned by Adera or licensed by the respective owners. You are not permitted to use these materials except as explicitly authorized in writing by Adera. The trademarks, service marks, logo, and graphics associated with Adera are owned by Adera and are protected under copyright, trademark, and other applicable laws in the United States and internationally. All other marks are the property of their respective owners. You agree to recognize the rights of Adera and third parties in their respective intellectual property and not to copy, use, or otherwise exploit these materials except as expressly permitted.

Subject to your continued compliance with these Terms, and at Adera’s sole discretion, Adera grants you a limited, non-exclusive, revocable, royalty-free, fully paid, non-transferable, and non-sublicensable license to reproduce and display content from the Adera Express Platform (excluding software source code) solely for your personal, non-commercial use in connection with your access to and participation in the platform. You may not use, copy, adapt, modify, prepare derivative works based upon, distribute, sell, perform, or display any content from the Adera Express Platform except as expressly permitted under these Terms. No additional licenses or rights are granted to you by implication or otherwise under any intellectual property owned or controlled by Adera or its licensors.

Warranty Disclaimers

We hope you enjoy using the Adera Express Platform and find it valuable. However, there are certain things we cannot promise.

YOUR USE OF THE ADERA EXPRESS PLATFORM IS AT YOUR SOLE RISK. YOU ACKNOWLEDGE AND AGREE THAT ADERA DOES NOT HAVE AN OBLIGATION, BUT RESERVES THE RIGHT, TO (A) MONITOR, REVIEW, OR EDIT USER CONTENT FOR ANY REASON; OR (B) CONDUCT IDENTITY VERIFICATION, BACKGROUND CHECKS (INCLUDING CRIMINAL BACKGROUND CHECKS), OR OTHER SCREENINGS OF ANY MEMBER OR PERSON BOUND BY THESE TERMS. THE ADERA EXPRESS PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADERA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Adera and its affiliates, officers, directors, employees, partners, agents, and licensors make no warranty that (i) the Adera Express Platform will meet your requirements; (ii) the platform will be uninterrupted, timely, secure, or error-free; (iii) the results obtained from the use of the platform will be accurate or reliable; (iv) the quality of any services, information, or other material facilitated through the platform will meet your expectations; or (v) any errors in the software, applications, or code will be corrected.

Any material downloaded or otherwise obtained through the use of the Adera Express Platform is accessed at your own discretion and risk. You will be solely responsible for any damage to your computer system, internet access, download or display device, or loss of data resulting from the download of such material.

You are solely responsible for all communications and interactions with other members or users of the platform and with third parties you interact with as a result of using the platform. You understand that Adera does not verify the accuracy of statements made by members or third-party users or verify items transported through the platform.

You acknowledge and agree that you are not acting upon the advice or direction of Adera or its affiliates, officers, directors, employees, partners, agents, or licensors regarding your transactions or communications with members or third parties, including but not limited to the legality of your transactions. You alone are responsible for ensuring compliance with applicable local laws, including taxes, duties, fees, or charges related to your transactions. You are also responsible for any statement made to government officials regarding your transactions and remain liable for any taxes, import or export charges, fines, or penalties arising from such transactions.

No advice or information, whether oral or written, obtained by you from Adera or through the platform shall create any warranty not expressly stated in these terms.

Limitation of Liability

Where permitted, and to the maximum extent allowed by law, you acknowledge and agree that the entire risk arising out of your access to and use of the Adera Express Platform, or to the relationship between you and Adera or between you and other members, remains with you. Neither Adera nor its affiliates, officers, directors, employees, partners, agents, and licensors will be responsible for lost profits, revenues, data, or financial losses, or for indirect, special, consequential, exemplary, or punitive damages. This limitation applies even if we have been advised of the possibility of such damages, or if a limited remedy set forth herein is found to have failed of its essential purpose, regardless of the nature of the cause of action, claim for relief, or alleged theory of recovery, whether in contract, tort (including negligence), strict liability, or otherwise.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF ADERA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, AND AGENTS FOR CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM, INCLUDING ANY IMPLIED WARRANTIES, IS LIMITED TO THE AMOUNT YOU PAID TO ADERA FOR ACCESS OR USE OF THE PLATFORM IN THE SIX MONTHS PRIOR TO THE EVENTS GIVING RISE TO YOUR CLAIM. IF NO PAYMENT WAS MADE, THE TOTAL LIABILITY WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).

Copyright

We respect and expect Providers and Parents to respect copyright law. Where warranted, we will terminate the Account of any user who repeatedly infringes or is believed to be repeatedly infringing the rights of copyright holders. Please see our Copyright & DMCA Policy for more information.

General Terms

General Terms

Entire Agreement. These Terms constitute the entire agreement between you and Adera and govern your use of the Adera Express Platform, superseding any prior versions of these Terms between you and Adera with respect to the platform. Additional Terms. You may also be subject to additional terms and conditions that may apply when you use or purchase certain other services provided by Adera. Choice of Law and Forum. You and Adera agree that these Terms and the relationship between you and Adera or between you and any Member or third party shall be exclusively governed by the substantive laws of the State of Wisconsin without regard to its conflict of law provisions. Any and all claims, causes of action, or disputes (regardless of theory) arising out of or relating to these Terms, or the relationship between you and Adera, to the extent not required to be filed in arbitration as provided in these Terms, shall be brought exclusively in the courts located in Wisconsin. You and Adera agree to submit to the personal jurisdiction of these courts and waive any objections to venue or jurisdiction and any claims of inconvenient forum. Waiver and Severability of Terms. The failure of Adera to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of the Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the remaining provisions of the Terms shall remain in full force and effect. No Right of Survivorship and Non-Transferability. You agree that your Adera account is non-transferable and that any rights to your Adera account or its contents terminate upon your death. Upon receipt of a copy of a death certificate, your account may be terminated and all contents therein permanently deleted. Statute of Limitations. You agree that, regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to your use of the Adera Express Platform or these Terms must be filed within one (1) year after such claim or cause of action arose, or it will be forever barred. Section Titles. The section titles in these Terms are for convenience only and have no legal or contractual effect. Assignment. Adera may freely assign these Terms and all policies and other documents incorporated or referenced in them (including all rights, licenses, and obligations under them), in whole or in part, without notice.
